1. Acceptance of Terms

By accessing or using our Services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.

2. Services Provided

Integrated Technology Solutions LLC provides:

  • Managed automation and customer-communication services

  • White-labeled SaaS accounts via GoHighLevel

  • AI-powered workflows, SMS, voice, email, and social integrations

Services may be modified or discontinued at our discretion.

3. Client Responsibilities

Clients agree to:

  • Provide accurate information

  • Maintain security of login credentials

  • Obtain and maintain valid opt-in consent for all SMS, MMS, voice, email, and automated communications in accordance with TCPA, carrier guidelines, and applicable laws.

  • Use the Services only for lawful purposes

  • Comply with all applicable laws and regulations

4. SMS, MMS & Automated Messaging Terms

By using Integrated Technology Solutions LLC Services that include SMS, MMS, voice, or automated messaging, clients acknowledge and agree that:

  • All recipients must have provided valid, prior express consent to receive communications.

  • Message frequency may vary based on campaign or service usage.

  • Message and data rates may apply.

  • Recipients must be able to opt out at any time by replying STOP.

  • Assistance must be available by replying HELP or contacting support@integratedtechnologysolution.com.

Integrated Technology Solutions LLC does not permit the use of purchased, rented, or scraped contact lists and does not allow unsolicited messaging under any circumstances.

4.1 Carrier & Regulatory Compliance

Clients acknowledge that messaging services are subject to carrier rules, The Campaign Registry (TCR) requirements, and applicable telecommunications regulations.

Integrated Technology Solutions LLC reserves the right to suspend or terminate messaging services immediately if a campaign or account violates carrier policies, A2P registration requirements, or regulatory standards.

5. Prohibited Uses

Clients may not use the Services for:

  • Spam, unsolicited messaging, or robocalls

  • Illegal, fraudulent, or deceptive activities

  • Harassment, hate speech, or abusive content

  • Violations of platform policies (Meta, Twilio, etc.)

  • Medical or financial advice without proper disclaimers

  • Circumventing opt-out mechanisms, ignoring STOP requests, or attempting to resend messages after consent has been revoked.

Violation may result in suspension or termination without refund.

6. Fees & Payments

  • Fees may include setup fees, monthly subscriptions, usage-based fees, and one-time charges.

  • Billing terms are defined in your service agreement or plan.

  • Payments are processed via Stripe and/or PayPal.

  • Late or failed payments may result in service suspension.

7. White-Label & SaaS Accounts

Clients using white-labeled accounts:

  • Do not own the underlying platform

  • May not resell or sublicense without written approval

  • Are responsible for their sub-users and end customers

8. Intellectual Property

All software, workflows, templates, branding, and content provided by Integrated Technology Solutions LLC remain our intellectual property unless otherwise stated. When Integrated Technology Solutions LLC sends messages directly on behalf of a client, it does so strictly according to client configuration and instructions. The client remains responsible for consent, content compliance, and recipient eligibility.

9. Data & Privacy

Data handling is governed by our Privacy Policy. Clients remain the data controller for their end-customer data; Integrated Technology Solutions LLC acts as a service provider/processor.

10. Suspension & Termination

We may suspend or terminate Services:

  • For policy violations

  • For non-payment

  • To comply with legal requirements

  • To protect platform integrity

Termination does not relieve payment obligations.

11. Disclaimers

Services are provided “AS IS” and “AS AVAILABLE.” We do not guarantee uninterrupted or error-free operation, specific business results, or revenue outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, Integrated Technology Solutions LLC shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the fees paid by the client in the prior 12 months.

13. Indemnification

Clients agree to indemnify and hold harmless Integrated Technology Solutions LLC from claims arising out of:

  • Client content or communications

  • Violations of law or third-party rights

  • Misuse of the Services

14. Governing Law

These Terms are governed by the laws of the State of Florida, and applicable United States federal law.

15. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.
